Legal Specialist

SUMMARY OF THE JOB

As the Legal  Specialist of Holcim Trading & Shipping, you are responsible for contract management including legal and commercial reviews, as well as guidance and training to the teams regarding sourcing/selling contracts and charter parties. You also provide corporate, trading and shipping legal support to assist the General Counsel of Holcim Trading & Shipping with legal services required within the company and to the Holcim Group.


MAIN ACTIVITIES / RESPONSIBILITIES

Legal Function:

  • Contract Management: review of sourcing/selling trading contracts and charter parties to ensure compliance with internal policies; propose improvements for negotiation to the traders/charterers, ensure administrative follow up of the contracts both on paper and on the internal system (SAP/Sales Force/Umbrella etc.) 
  • Contracts: draft and update the templates and/or updated versions of spot/long term contracts (sales and purchase agreements), General Terms and Conditions of Holcim Trading & Shipping when required; support the traders for special contract drafting and negotiation with clients and assist them in clarifying Holcim Trading & Shipping position in situations that could develop into claims (pre-litigations).
  • To update the Umbrella tool to ensure Holcim Trading Group Company records are all up to date on the system and to assist in quarterly Legal Reporting requirements;
  • To assist the General Counsel in the compliance with all internal controls (MCS).
  • To assist the General Counsel in the preparation of corporate law paperwork for all Holcim Trading & Shipping Legal Entities (Switzerland, USA and Singapore) and all required filings at local companies registers to include Board, AGM and EGM notices and minutes, resignation and appointment letters and paperwork, authorized signatory registration and notifications, etc.
  • Keep abreast of legal updates related to trading and shipping law  which could have an effect on the legal practice and business. 
  • Such other reasonable duties may be required from time to time by the General Counsel.

 
PROFILE REQUIRED:

Education:
Legal education or equivalent experience; attorney patent is a plus

Experience
Min. 5  years of experience including trading / shipping activities, corporate law is a plus. Exposure to English law is a key asset.

Knowledge and skills: 

  • Strong interpersonal and communication skills that allow to effectively lead the team and facilitate, influence and communicate with other stakeholders and external parties
  • General agility, sound judgment and a highly developed legal and commercial sense with a pragmatic and solutions oriented approach 
  • Self-motivated, structured work approach, conceptual thinking, and strategic reasoning, while being hands-on and not afraid of making decisions
  • Team player with highest levels of ethics and integrity

Languages:

Fluent and articulate English speaker with advanced English writing skills particularly involving complex legal, commercial and operational concepts.

Other languages (German, French or Spanish) are advantageous.
