Role & responsibilities
 Compliance with Companies Act, 2013 and other laws;
 Preparation of Notices/Agenda for Board, Committee and General Meetings.
 Secretarial Function - Compliance of Companies Act, RBI, FEMA,
Debenture Trustee compliances.
 Conducting independently the offline and virtual Board & Annual General
Meetings in compliance with the Companies Act 2013, Secretarial Standards
as well as Drafting of the Notices, Annual Report, Agenda & Minutes etc
 Assist in Convening Board Meeting, Committee Meetings, General
Meetings
 Preparing and filing of various forms with ROC, Annual Returns, etc.
 Recording and Maintaining the statutory registers of the company.
 Creation/ extinguishment of ISIN
 XBRL filing for ROC, Annual filing and drafting Directors report & Related
compliance
 Ensure compliance with various e-filling / ROC (event based and
mandatory) and other secretarial requirements.
 Issue, allotment and transfer of Shares, debenture and other securities, etc.
 Liaising with external Statutory and Regulatory authorities such as RBI,
NSDL, CDSL, Linking Time, Auditors, etc.
 Assisting in drafting of agreements and other legal documents like
Shareholders Agreements, security documents, etc.
 Drafting and getting the corporate actions and other conditions
precedent/subsequent required from the Investee Companies for making
investments.
 Any other jobs assigned and support to other departments.
Preferred candidate profile
Minimum 2-3 years of experience.
Candidates with ICSI membership number to apply
