Role Overview


The Legal Counsel - Finance, M&A, and Corporate is a vital member of the Group Legal & Compliance department based in Switzerland. In this role, you will act as a primary legal expert providing strategic support for Holcim’s global transactional activities. Your mission is to deliver technically excellent and solution-driven legal services that facilitate complex international M&A, venture capital investments, and large-scale procurement projects. You will be a key partner in driving the Group’s strategic growth while ensuring full regulatory compliance and structural simplification across multiple jurisdictions.

 

Key Responsibilities

 

  • Lead complex international M&A transactions and venture capital investments, taking full ownership of drafting and negotiating all relevant transaction documentation.
  • Serve as a strategic legal advisor for Finance, Group Procurement, and Corporate Development, providing commercially relevant and risk-appropriate solutions.
  • Drive corporate housekeeping and structural simplification by managing internal restructurings, intra-group transfers, and the legal maintenance of Group holding companies.
  • Ensure regulatory and disclosure compliance, advising on insider trading topics, management reporting under Swiss/EU laws, and SIX Swiss Exchange reporting obligations.
  • Partner with Group Procurement on ESG and Vendor Compliance, overseeing legal aspects of human rights due diligence, environmental regulations, and global data privacy.
  • Manage large-scale procurement and supply chain legalities, including the negotiation of Master Service Agreements (MSAs), SaaS licensing, and complex outsourcing contracts.
  • Optimize legal process excellence by developing standard templates, automating contract lifecycles, and managing the cost-efficiency of external legal counsel.

 

Required Skills & Qualifications

 

  • Minimum of 3–5 years of relevant experience in domestic and international transactions, gained within a leading law firm or a multinational corporation.
  • Law degree and admission to the bar in Switzerland, the EU, or the UK (post-graduate degrees are highly preferred).
  • Strong project management and negotiation skills with a substantial working knowledge of various legal systems and international jurisdictions.
  • A self-motivated team player with sound judgment, a pragmatic approach, and the ability to simplify complex legal concepts for diverse stakeholders.
  • Fluent and articulate English speaker with advanced drafting and writing skills; proficiency in German, French, or Spanish is a significant advantage.
  • Mobility: Up to 10% international travel.
